Meaning and Why It Is Unofficial

By BillCut
Last updated: 2 November 2026

What is GMP in IPO? GMP stands for grey market premium. It is a figure that circulates informally before a company lists, and it is not an official figure. This post explains the term using SEBI investor education material, checked on 2 November 2026. It does not quote any GMP, and it is not a view on any IPO.

What does GMP mean in an IPO?

GMP is a market term, not a regulatory one. It refers to informal talk about what shares of an upcoming issue might fetch before they list. The offer document is the formal document for an issue, and it is where you look for the price band and the risk factors.

Is GMP official or regulated?

No. GMP did not appear on the SEBI investor pages we opened. SEBI’s investor education slides on IPOs give a direct warning: Do not deal in shares in Black market or Grey Market.

SEBI’s investor site also explains a related practice. It states that dabba trading is an illegal and unregulated form of trading in securities. Those trades are not executed on a recognised exchange and are settled by the operator. So investors cannot use the grievance mechanism of stock exchanges. GMP is not the same thing as dabba trading, but both sit outside the regulated market.

How is GMP different from official information?

Point

GMP

Official sources

Who publishes it

No regulator

Issuer, SEBI, exchanges

Can it be checked

No official record

Offer document and exchange notices

Where do disputes go

No exchange grievance route

Exchange and SEBI channels

Written record

None required

Documented in filed material

Where should you look for IPO facts instead?

SEBI’s slides say the date of allotment and the date of listing can be checked in the offer document. The same slides explain the price band, the range within which you can bid. They also list risk factors, which cover risks of the business and industry, and advise reading the offer document before investing. The SEBI General Information Document for investing in public offers adds that if its wording conflicts with the red herring prospectus or prospectus, the prospectus wording prevails.

Why can GMP and the actual listing differ?

An informal figure is not backed by any rule or record. Nobody is required to keep it accurate, and nobody answers for it. It can also change from day to day with talk and mood. For that reason, you should not treat it as a forecast of what a share will do after listing. Listing outcomes depend on market conditions that no one can promise.

What are the risks of leaning on GMP?

It is informal, so there is no check on how it is set.

It can move quickly, so a figure you saw in the morning may be stale by evening.

It can lead people to focus on a short term gain and skip the risk factors.

If something goes wrong outside the regulated market, you may have no formal complaint route.

None of this is a comment on any particular issue. It only explains why informal figures are a weak base for a money decision.

How can you read an IPO document step by step?

Find the price band and the dates in the offer document.

Read the risk factors section in full, not just the summary.

Check how the money raised will be used.

Note the dates of allotment and listing.

What do regulators say about offers that promise returns?

SEBI’s investor awareness messages warn against offers that promise unrealistic returns, which can point to investment scams or get-rich-quick schemes. They suggest speaking to a SEBI-registered Investment Advisor. A figure that implies a gain before listing should be read with the same care.

How do you apply for an IPO the official way?

SEBI’s slides describe ASBA, where the bid amount is blocked in your bank account. For retail investors, UPI can be used within ASBA, and the mobile number in the application must match the one linked to your bank account and UPI ID. For a plain explanation of the payment side, see UPI for IPOs and bills. This is process information, not advice to apply or not to apply.

What is the main takeaway?

GMP is an informal figure that sits outside any regulator’s oversight. Official facts live in the offer document and on exchange and SEBI pages. Whatever you decide about an IPO, make it from those sources and your own finances, and remember that you can lose money.

Where can you learn the basics?

If you are new to markets, start with the basics of the stock market in India and how to start investing in mutual funds. Debt matters here too. Money that is needed for EMIs and card dues should not be put at risk in the market.

Check your options with BillCut

How BillCut can help

BillCut is a balance transfer and debt reduction platform. It works with lending partners to help eligible borrowers move high interest dues, such as credit card balances and personal loan EMIs, into one structured EMI. BillCut earns from helping borrowers refinance, so it has an interest in this option. Approval and terms depend on the partner lender.

Frequently asked questions

What is GMP in IPO?

GMP means grey market premium.
