What is the difference between a fresh issue and an offer for sale?

In a fresh issue the company creates new shares, and the money raised goes to the company. In an offer for sale, existing shareholders sell some of their shares, and the money goes to them. The prospectus says the company receives no proceeds from the offer for sale.

Part of the issue Who gets the money
Fresh issue The company
Offer for sale The selling shareholders

How will the fresh issue money be used?

The prospectus lists three uses for the net proceeds of the fresh issue.

  1. Prepaying all or part of certain borrowings of the company and its wholly owned subsidiary, Vasudha Waste Treatment Private Limited.
  2. Funding working capital requirements.
  3. General corporate purposes, capped at 25% of the gross fresh issue proceeds.

What should you check before you bid?

SEBI’s investor guide on investing in IPOs advises reading the offer documents, using your own funds, and not investing with the anticipation of quick profits on listing. It also says not to deal in shares in the grey market, so treat any premium you see quoted online as unofficial.

  1. Read the risk factors and the objects of the issue in the full prospectus, not only the headlines.
  2. Bid only with money you can afford to have blocked, and not with a loan or a card balance.
  3. Make sure your demat account is ready. BillCut’s guide to demat account basics explains the steps.
  4. Understand how the amount is held. BillCut’s explainer on UPI credit blocking mandates shows how a block works, and UPI for IPOs and bills covers the application side.
  5. Avoid tips on social media. SEBI’s April 2025 press release warns about offers of “sure shot allocation of IPO”. If you lose money to a scam, report it on the National Cyber Crime Reporting Portal or call 1930.

How can you check your allotment status?

After the issue closes, the registrar, MUFG Intime India, publishes the basis of allotment. You can also use the NSE bid verification page. If an amount stays blocked beyond the stated date, contact the registrar and your bank first, then file a complaint on SEBI’s SCORES portal. New to markets?
