People searching for the EAAA India Alternatives IPO GMP are looking for an unofficial premium, which SEBI’s investor guide says not to deal in. What the draft red herring prospectus does say is more useful: the issue is entirely an offer for sale, the selling shareholder gets the money, and the company receives none of it. This guide explains the offer and what to check before bidding.

What does EAAA India Alternatives do?

The draft red herring prospectus on the NSE website describes the company as an alternative assets management platform in India. It runs two main strategies, called Real Assets and Private Credit. Real Assets invests in a mix of equity, quasi-equity and debt, and Private Credit mainly invests in debt or convertible debt. The document reports assets under management of Rs 655,039.75 million as of 30 September 2025 and says the company is a SEBI registered portfolio manager.

What is the structure of the offer?

Item Detail from the draft prospectus
Fresh issue Not applicable
Offer for sale By Edelweiss Securities and Investments Private Limited, the promoter selling shareholder
Face value Rs 5 per equity share
Registrar MUFG Intime India Private Limited
Lead managers Axis Capital, Jefferies India, Motilal Oswal Investment Advisors and Nuvama Wealth Management
Proposed exchanges BSE and NSE

This is a draft filed in February 2026. The final red herring prospectus can change the size, the price band, the dates and the reservations, so read the final document. Media reports say bidding opened on 26 October 2026, but confirm the dates, the price band and the lot size on the exchange notice or with your broker.

What does an offer for sale only issue mean for you?

In an offer for sale, an existing shareholder sells shares to new investors. No new shares are created and the company does not receive the money. The draft prospectus says the offer is made with reservations for institutional investors, non-institutional investors, retail investors, eligible employees and eligible shareholders of Edelweiss Financial Services.

Fresh issue Offer for sale
Company issues new shares Existing shareholder sells shares
Money goes to the company Money goes to the seller
Can fund expansion or repay debt Gives the seller an exit or partial exit

Why is GMP not a reliable guide?

SEBI’s investor guide on investing in IPOs says not to deal in shares in the black market or grey market, to use your own funds, and not to invest with the anticipation of quick profits on listing. A grey market premium is passed along by word of mouth outside the exchanges, with no official record. The listing price is found from limit orders in the exchange session.

What should you check before you bid?

  1. Read the risk factors and the business sections of the final prospectus, not only the headlines.
  2. Bid only with your own money, never with a loan or a card balance.
  3. Make sure your demat account is ready. BillCut’s guide to demat account basics explains the steps.
  4. Understand how the amount is held. BillCut’s explainer on UPI credit blocking mandates shows how a block works, and UPI for IPOs and bills covers the application side.
  5. Ignore tips on social media. SEBI’s April 2025 press release warns about offers of “sure shot allocation of IPO”. If you lose money to a scam, report it on the National Cyber Crime Reporting Portal or call 1930.

How can you check your allotment status?

After the issue closes, the registrar, MUFG Intime India, publishes the basis of allotment. You can also use the NSE bid verification page. If an amount stays blocked beyond the stated date, contact the registrar and your bank first, then file a complaint on SEBI’s SCORES portal. New to markets?
